Agreements

All actions made by the registered users of the site are regulated with the help of system of agreements. Signing agreements fixes the process of the interaction of the Parties, clearly indicates their rights and obligations.

Each company can be an Author, a Dealer of other authors, a Customer and an Affiliate at the same time.

The right to create agreements between the Parties is given by the Administration of the site. When the new company is registered creating agreements is prohibited by default. To get permission you need to contact the Administration of the site. The Administration can refuse the company of this right.

Parts of the agreement

• Text - the agreement should be created in two languages (English and Russian) and available for signing if it has a translation in the language of the current interface.
• Tariff scale - description of the financial relations between the Parties of the agreement. It may concern all the programs or several.

Signing agreement

Each company, registered on the site may sign any public agreements, becoming a Party of the agreement. The company may sign individual agreements with the site's clients. The company, which decided to sign an agreement, is the Initiator of the agreement. The company, which created the agreement, is the Owner of the agreement. Request for approving is sent to the Owner of the agreement, who in his/her turn may accept or block the request for establishing the agreement relations individually for each company. The agreement is concerned active after the Owner of the agreement accepts the request for signing.

The Parties of the agreement reserve the right to cancel the agreement in any time or stop its activity. The Party that stopped the activity of the agreement may resume it.

The activity period of the agreement, signed by the Parties, is not limited.

Parties of the agreement

• Administration of the site Softkey (Company #1).
• Author - physical or juridical person, who has all the rights for distribution and usage of software.
• Dealer - physical or juridical person, purchasing the software on special conditions, different from those for other customers.
• Affiliate - physical or juridical person, who places link to the program on their site and gets a percent from the purchase of software.
• Customer - physical or juridical person, purchasing software on the site.

Types of agreements

• Author - signed between the Author and the Administration.
• Dealer - signed between the Dealer and the Author, Dealer and the Administration.
• Affiliate - signed between the Affiliate and the Author, the Affiliate and the Administration.
• Customer - one side agreement.
• Bundle - signed between the Author of the Software and the Creator of the bundle.

Author agreement

The agreement is signed between the Author and the Administration. In accordance with this agreement the Administration gives the Author an opportunity to distribute Software with the help of technical means of the site Softkey.
The Administration pays compensation to the Author. The size of the compensation is a certain percent from the program's price, or a fixed rate. The Administration may change the size of the compensation on its own discretion, notifying the Author beforehand.

The Owner of the agreement creates a tariff scale. The Party agrees with it when signing the agreement. The tariff scale defines variants of the sum for compensation in currency or percentage for certain turnover of the Author for the indicated period (optional). After the Software is sold the Administration pays Author the compensation.

The Company may sign with the Administration only one author agreement, in which there may be several commission variants for different programs indicated.

Dealer agreement

The present agreement is signed between the Dealer and the Author, the Dealer and the Administration. Any company may become the Initiator of public agreement signing.

The company who wants to become a Dealer may itself send a request for starting the dealer's relations to the agreement Owner. The Owner of the agreement may approve/deny/block any of his/her dealer agreements. The Owner of the agreement may become the Initiator of the agreement signing, inviting a selected company.

The Dealer buys Software wholesale and gets discounts with purchase.

If the Owner of the agreement is the Administration (Company #1), the agreement is applied to all software sold on the site or indicated in the tariffs of the agreement. If the Owner of the agreement is the Author, the agreement is applied only to his software.

In the tariff scale the Owner of the agreement defines new variants of the software price in currency or in percentage for a certain turnover of the Party for the indicated period (optional).

Every company may sign with the Administration or other companies an unlimited number of dealer agreements.

Affiliate agreement

The agreement is signed between the Affiliate and the Administration, the Affiliate and the Author. In accordance with this agreement the Affiliate places a link to the Author's software or to the whole site Softkey. The Affiliate receives a certain percent from the purchase of Software if the program was found and bought by the link from his site.

In the tariff scale the Owner of the agreement defines new variants of the software price in currency or in percentage for a certain turnover of the Party for the indicated period (optional). The sums, earned by the Affiliate are counted on the site.

Every company may sign with the Administration or other companies an unlimited number of affiliate agreements.

Customer agreement

The agreement is created for giving discounts to customers without changing the basic price of the program. The current agreement is one-sided and is not signed directly. The customer, purchasing software, agrees with the conditions of programs sale.

In process of registering the purchase the user may get through the whole process of registration, receiving his company and account. There is a simplified variant of registration, when the customer's name and password are generated automatically.

Bundle agreement

The agreement is signed between the Author and the Creator of the bundle. The Creator of the bundle may be the Author, who signed the author agreement, as well as the Administration.

The Author allows the Creator to use his/her programs and sets a certain price for them. If the Creator agrees he/she can include the Author's programs in the bundle. Bundle may include unlimited number of programs of different Authors.
